THE RESULT

The focus on deal-killers revealed that the target had a smaller market than advertised — the client revised their offer lower.

Genesis found early that the target’s addressable market was materially smaller than the sell-side IM indicated, and identified structural factors that would impede growth into adjacent markets. On the basis of these findings, the client revised their offer significantly lower. The revised bid was rejected by the vendor. The asset ultimately sold to a trade player one year later at a valuation below the client’s revised offer — validating the diligence findings.
